Terms & Conditions

Please read carefully. By creating an account, signing in, or otherwise using Uniguard Pro, you agree to these terms. If you do not agree, do not use the service.

1. Definitions

  • “Uniguard Pro”, “we”, “us”, “our” refer to Uniguard Pro and the services described in these terms.
  • “Service” means the Uniguard Pro security monitoring and dispatch platform, including the web portals, API, mobile interfaces, professional dispatch escalation, and related software.
  • “Customer”, “you”, “your” refer to the individual or legal entity that signed up for the Service.
  • “Dealer” means an authorized reseller managing one or more end-customer accounts under their dealer agreement.
  • “Site” means a physical property registered to your account for which the Service receives alarm signals.

2. Eligibility & Account

You must be at least 18 years old and legally able to enter into a binding contract to use the Service. If you are signing up on behalf of a business, you represent that you have authority to bind that business to these terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately if you suspect unauthorized access. We are not liable for losses caused by your failure to safeguard credentials.

We may suspend or terminate accounts that violate these terms, that show signs of compromise, or that have unpaid balances. We will give reasonable notice except in cases of immediate security risk.

3. Subscription & Billing

Most plans are billed via monthly subscription through Stripe. Some plans include metered usage (dispatched alarms above the included allowance, video verification events) that is calculated and billed monthly in arrears. SMS notifications are not metered.

  • Free trial: New direct-customer accounts receive a 30-day free trial of the Self-Monitored plan only. A payment method is required at signup; the card is not charged until the trial ends, and you may cancel anytime during the trial at no cost. Professional monitoring plans, and accounts that have previously held a subscription, are not eligible for a free trial and are billed at checkout.
  • Automatic renewal: Subscriptions renew automatically each billing period until cancelled. Cancellation takes effect at the end of the current billing period; no pro-rated refunds.
  • Price changes: We may change prices with at least 30 days’ notice to active customers. Continued use after the effective date constitutes acceptance.
  • Failed payment: If a charge fails, we will retry per Stripe’s standard dunning schedule. Continued non-payment past the grace period results in service suspension.
  • Dealer accounts: Dealers are billed per dealer-plan terms and are responsible for their end-customer billing relationship.

4. Service Description & Limitations

Uniguard Pro receives alarm signals from your security equipment, evaluates them against your configured rules, notifies your designated contacts, and (for pro-monitored plans) escalates qualifying alarms to a professional dispatcher partner who may contact emergency services on your behalf.

The Service is a notification and escalation platform — not a guarantee of emergency response. Emergency response times depend on the responding agency, local conditions, and factors outside our control. We do not employ first responders.

Equipment: You are responsible for purchasing, installing, configuring, and maintaining the security equipment that generates signals (alarm panels, sensors, cameras, internet connection). The Service requires a functioning internet connection between your equipment and our receivers.

Outages: We strive for high availability but make no uptime warranty beyond the SLA explicitly written into your subscription. Planned maintenance is communicated in advance where possible.

5. Acceptable Use

You agree not to use the Service, or permit anyone to use the Service, to:

  • Violate any applicable law or regulation
  • Send unsolicited bulk messaging (the SMS channel is for security alerts only — marketing SMS is prohibited)
  • Interfere with or compromise the security of the Service (penetration testing of our infrastructure requires prior written authorization)
  • Submit deliberately false alarms or repeatedly trigger the dispatcher without legitimate cause
  • Resell, sublicense, or repackage the Service except under an explicit Dealer agreement
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use the Service to monitor sites where surveillance violates local privacy or labour law

We may suspend the Service immediately upon discovering violations that pose security or legal risk to us or to other customers.

6. Your Content & Data

You retain all rights to the data you upload to the Service (alarm signals, camera snapshots, site details, contacts). You grant us a limited, non-exclusive license to host, process, transmit, and display that data solely as necessary to deliver the Service and to comply with legal obligations.

How we handle personal data is described in detail in our Privacy Policy. SMS and voice notification handling is described in our SMS & Voice Notification Terms.

On account termination you may export your data for 30 days. After that, we delete or anonymize your data per the retention schedule in our Privacy Policy.

7. Intellectual Property

The Service, including all software, documentation, and visual design, is owned by Uniguard Pro and protected by intellectual property law. These terms do not transfer ownership of any of that to you.

You may use the Service’s outputs (alarm reports, event timelines, monitoring certificates) for your own business purposes, including providing them to insurers or regulators. You may not redistribute Service outputs as a competing product.

8. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise. Uniguard Pro disclaims all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, error-free, or that alarms will always reach you or the dispatcher within a specific time. Your use of the Service is at your own risk.

9. Limitation of Liability

To the maximum extent permitted by law, Uniguard Pro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or in connection with the Service — even if advised of the possibility of such damages.

Our aggregate liability for all claims relating to the Service shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions our liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify and hold harmless Uniguard Pro, its officers, directors, employees, and agents from any claim, liability, or expense (including reasonable attorneys’ fees) arising from:

  • Your use of the Service in violation of these terms
  • Your failure to obtain required consents from your emergency contacts, site occupants, or other affected parties
  • False or misleading information you provided about your site, contacts, or equipment
  • Your equipment’s failure to generate accurate alarm signals
  • Any claim by a third party arising from your use of the Service’s outputs

11. Termination

By you: Cancel anytime from the billing settings in your portal. The cancellation takes effect at the end of the current billing period.

By us: We may suspend or terminate your account for material breach of these terms, non-payment beyond the dunning grace period, or activity that poses a security or legal risk. Where practical we provide notice and an opportunity to cure.

On termination: your access to the Service ends, we invoice any outstanding metered usage, and we begin the data export + deletion process described in our Privacy Policy. Sections that by their nature survive termination (Disclaimer, Limitation of Liability, Indemnification, Governing Law) continue in effect.

12. Governing Law & Disputes

These terms are governed by the laws of the Province of Ontario, Canada, excluding its conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts of Ontario for any dispute arising from these terms or your use of the Service, except as required by applicable consumer-protection law in your jurisdiction.

Before initiating any formal proceeding, both parties agree to attempt good-faith resolution by writing to [email protected] and allowing 30 days for response.

13. Changes to These Terms

We may update these terms as the Service evolves. The effective date at the top of this page reflects the most recent revision. Material changes — terms that increase your obligations or limit your rights — are communicated to active customers via email at least 30 days before they take effect.

Continued use of the Service after the effective date of updated terms constitutes acceptance of those terms.

14. Miscellaneous

  • Entire agreement: These terms, together with the Privacy Policy, SMS & Voice Notification Terms, and any subscription order form, constitute the entire agreement between you and Uniguard Pro.
  • Severability: If any provision is found unenforceable, the rest continues in effect.
  • No waiver: Failure to enforce a provision is not a waiver of our right to enforce it later.
  • Assignment: You may not assign these terms without our written consent. We may assign these terms to a successor in connection with a merger, acquisition, or sale of assets.
  • Force majeure: Neither party is liable for delays or failures caused by events outside reasonable control (natural disaster, war, government action, internet-backbone outage).
